We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected customers.

Any custom configurations, integrations, or solutions developed specifically for your facility remain your property, while our underlying methodologies, processes, and proprietary technologies remain the property of deepanchoris.

Indemnification

You agree to defend, indemnify, and hold harmless deepanchoris Corp and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of our services caused damage to a third party

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Termination

You may terminate your use of our services at any time by discontinuing your use of our website and services. However, any outstanding service agreements and payment obligations will remain in effect according to their terms.

Upon termination, your right to use our services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Force Majeure

deepanchoris shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond our reasonable control.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the sole and entire agreement between you and deepanchoris Corp regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
